1. Agreement

4. Proposals, Pricing & Payment
Proposals or quotes are valid for a specified period. Fees are as stated in the agreement. Services begin after acceptance and any required upfront payment. Payment terms (e.g. net 30) apply; late payments may incur interest.
5. Intellectual Property
Client-owned IP: You retain ownership of all IP you supply or that arises from your proprietary content.
Our IP: We retain ownership of methodologies, tools, code, or templates used to deliver Services.
License to Use: Upon full payment, we grant you a non-exclusive license to use deliverables for your internal business purposes.
6. Confidentiality
Both parties agree to keep confidential information secure and use it solely for the purposes of providing or receiving services, except as required by law. Obligations survive termination for [two] years.
7. Warranties & Disclaimers
We warrant that services will be provided with reasonable skill and care.
We do not warrant uninterrupted or error‑free service.
Except as explicitly provided, services are provided “as is” and disclaim all other warranties.
8. Limitation of Liability

9. Termination
Either party may terminate the agreement for material breach, if not cured within 30 days’ notice. We may suspend services upon non‑payment. Upon termination, client pays for work performed and deliverables provided.
10. Refund & Warranty Policy
Hardware or software purchases may carry manufacturer warranties. Service engagements may include written performance guarantees per the contract. No refunds for services rendered beyond cancellation terms.
11. Governing Law & Dispute Resolution
